This Booking Partner Agreement (“BPA”), made by and between AIRNETZ AVIATION PVT. LTD., and the “Booking Partner” details entered above:

WHEREAS, “Booking Partner” desires to offer “Charter” services for Helicopter, Turbo Prop Aircrafts and Business Jets to it’s customers in accordance with the terms and conditions contained herein; and

NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein, the parties agree as follows:-

TERMS

1) Minimum Two Hours of flying will be charged per day for any charter requirement having total flying less than Two Hours of flying per day.

2) Base Locations, hourly rate of charter, waiting time, crew charges and other charges for various Aircrafts and Helicopters will be as mentioned in the following documents:

3) Confirmation on charter will be subject to availability of aircraft on the date and time of requirement by the “Booking Partner”.

4) Subject to availability of aircraft, for all domestic flights (except when operating to defense airfields), 4 hours notice will be required to make the aircraft available for charter after receipt of verbal or written confirmation on all working days, and 24 hours notice will be required to make the aircraft available for charter after receipt of verbal or written confirmation on non-working days / holidays. Operations to defense airfields are subject to prior approval from defense headquarters for operations.

5) Subject to availability of aircraft, for all international flights, minimum 4 working days notice will be required to make the aircraft available for charter after receipt of verbal or written confirmation (This would however depend on the destination, as some countries require at least 10 – 14 days for flight clearance and visa of crew members, etc).

6) Full Payment for every charter, as per the quotation provided will have to be made minimum 72 hours in advance as confirmation of charter. Charter will be deemed to be confirmed only on receipt of full payment in advance.

9) All flying will be carried out strictly within the rules stipulated by the Director General of Civil Aviation (D.G.C.A.), Government of India.

10)  In the event of any dispute arising out of this agreement between the parties hereto, the dispute will be settled, first by mutual consultation, failing which, by arbitration in accordance with the provisions of the Arbitration and Conciliation ACT, 1996 at Mumbai.
